Claranova announces the signing, on June 22, 2025, of an agreement to sell the PlanetArt division to an entity controlled by General Atlantic Credit’s Atlantic Park fund and the PlanetArt management team. The move transitions Claranova into a pure software publishing company in Photo, Utilities, and PDF products.

Following exclusive negotiations initiated with General Atlantic Credit, the parties have entered into a transfer agreement which values the PlanetArt perimeter at $175 million (approximately €154 million). This transaction is subject to approval by the General Meeting of shareholders on June 27, 2025, and other prerequisites for contractual and regulatory approval, with an expected closing date of June 30, 2025.

The signing of this agreement marks a major strategic milestone for Claranova, reflecting our commitment to creating a more dynamic, efficient, and market-readable company by refocusing our activities on software publishing, which will ultimately contribute to improving the company’s valuation,” said Eric Gareau, CEO, Claranova. “By strengthening our financial structure through a significant reduction in our debt, this transaction gives us the means to accelerate our transformation into a fully integrated software publisher. We will thus be able to focus our investments and innovation efforts on better-valued, high-potential markets, while sustainably improving our operational performance.”
